Definition of Concealite Life Safety Products Inc.

For the purposes of these terms and conditions, Concealite Life Safety Products Inc. refers to all dealings, business operations, and activities related to the construction, manufacturing, distribution, and management of the products it provides. This includes, but is not limited to, product design, production, sales, warranty service, and any associated business activities.

Definition of Purchaser

For the purposes of these terms and conditions, the term “purchaser” refers to any party involved in the transaction, including but not limited to the distributor, installer, or any entity or individual that may have a claim related to the purchase, installation, or use of the product.

Purchaser Responsibility for Understanding Terms

It is the purchaser’s responsibility to fully understand these terms and conditions, including product specifications, warranties, and any other details relevant to their transaction. If a transaction involves multiple parties, including vendors, distributors, or installers, it is the purchaser’s duty to ensure they have obtained and understood all necessary information.

Responsibility for Third-Party Communication

Concealite Life Safety Products Inc. is not responsible for conveying or ensuring the accuracy of information shared between third parties. The purchaser should not assume that Concealite is responsible for their understanding of the terms or any details related to their transaction. Any misunderstandings or miscommunications among involved parties remain the sole responsibility of the purchaser.

Purchase Orders

Before submitting a purchase order, the purchaser must carefully review all order details, including product specifications, quantities, and any applicable terms. Once a purchase order is submitted, the sale is considered final, and changes, cancellations, or returns may not be accepted.

Limited Liability

The proper installation, operation, and ongoing functionality of the product are solely the responsibility of the purchaser. Concealite Life Safety Products Inc. provides products designed for specific applications, and it is the purchaser’s responsibility to ensure correct installation, maintenance, and adherence to all applicable safety requirements and best practices. Any deviations, modifications, or improper installations that affect product performance or safety are not the responsibility of Concealite Life Safety Products Inc. Additionally, Concealite Life Safety Products Inc. is not responsible for any costs associated with the initial installation, removal, reinstallation, or modification of the product or surrounding materials, whether related to the original purchase or any subsequent replacement. This includes but is not limited to labor costs, structural alterations, or any additional expenses incurred during installation or any later replacement. The purchaser assumes full responsibility for ensuring proper installation and any related costs. Accordingly, our liability and limited warranty is strictly limited to the cost of the product purchased.

Product Inspection and Limited Warranty Policy

Concealite Life Safety Products Inc. takes all reasonable measures to ensure that products are free from defects at the time of shipment. Upon delivery, the purchaser is responsible for thoroughly inspecting the product for any defects, discrepancies, or damage. Any issues must be reported immediately upon receipt.

Product Evaluation and Return Requests

If the product is believed to not function as required, the purchaser is expected to purchase a replacement product first. The affected product or component must then be sent back to Concealite Life Safety Products Inc. for evaluation. Once received, we will inspect the product to determine whether it qualifies for coverage under our policies, and potential reimbursement.

Any requests may be subject to additional costs, and replacements will be provided as soon as possible, depending on stock availability and material supply.

General Legal Disclaimer

Force Majeure

Concealite Life Safety Products Inc. shall not be liable for any failure or delay in performing its obligations under these terms due to circumstances beyond its reasonable control. This includes, but is not limited to, acts of God, natural disasters, pandemics, labor strikes, supply chain disruptions, material shortages, government actions, or any other unforeseen events that prevent normal business operations.

No Additional Warranties

Except as expressly stated in these terms and conditions, Concealite Life Safety Products Inc. makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. No distributor, installer, or third party is authorized to make any warranties on behalf of Concealite beyond those explicitly provided in these terms.

Limitation of Liability for Consequential Damages

Under no circumstances shall Concealite Life Safety Products Inc. be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use its products. This includes, but is not limited to, damages for lost profits, business interruptions, delays, or any other economic losses, even if Concealite has been advised of the possibility of such damages.

Jurisdiction and Governing Law

These terms and conditions shall be governed by and interpreted in accordance with the laws of the State of South Dakota, United States, without regard to conflict of law principles. Any legal disputes arising from these terms shall be resolved exclusively in the courts of South Dakota, and the purchaser consents to the jurisdiction of these courts.

Severability

If any provision of these terms and conditions is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the intent of the agreement.

Modification of Terms

Concealite Life Safety Products Inc. reserves the right to update or modify these terms and conditions at any time without prior notice. Any changes shall become effective upon publication, and continued purchases from Concealite constitute acceptance of the updated terms.
